Terms of Service

1. Agreement

These Terms of Service govern your access to and use of the NEXZ website at nexz-ai.com and the NEXZ application. By creating an account, starting a trial or subscribing, you agree to these terms on behalf of yourself and any organization you represent.

If you do not agree, do not use the service.

2. The service

NEXZ provides an AI employee platform that can read and draft communication, manage scheduling, produce offers and answer questions using knowledge you provide and services you connect. Features may change, improve or be discontinued as the product evolves.

3. Accounts and user responsibilities

You are responsible for your account and workspace. In particular you agree to:

• Provide accurate registration and billing information and keep it current.
• Keep your credentials confidential and notify us promptly of any unauthorized access.
• Ensure you have the rights and permissions to connect any mailbox, calendar, drive or document to NEXZ.
• Comply with all laws applicable to your use, including data-protection, marketing and consumer-protection law.
• Review AI-generated content before it is sent to customers or used for decisions.

4. Acceptable use

You may not use NEXZ to:

• Send spam, bulk unsolicited messages or deceptive communication.
• Impersonate any person or organization, or misrepresent AI output as coming from a human when required to disclose it.
• Upload or process content you have no right to use, or content that is unlawful, infringing, hateful or abusive.
• Attempt to reverse engineer, scrape, overload, probe or circumvent the security of the service.
• Resell, sublicense or provide the service to third parties outside your organization without our written agreement.

5. Third-party integrations

Connecting Google Gmail, Calendar, Drive or other third-party services is optional and governed by those providers' own terms. You authorize NEXZ to access those services on your behalf within the scopes you approve, and you may revoke access at any time from Settings or from your Google account. We are not responsible for changes, outages or restrictions imposed by third-party providers.

6. Subscription terms

NEXZ is sold as a recurring subscription. New workspaces may start with a 7-day trial; when the trial ends without an active subscription, the workspace becomes read-only until a plan is activated.

Subscriptions renew automatically for the same interval until cancelled. You may cancel at any time from the billing area; cancellation takes effect at the end of the current paid period and you retain access until then.

7. Payments

Payments are processed by Stripe. Supported methods include major credit and debit cards and, where available on your device, Apple Pay and Google Pay. Prices are stated at checkout and exclude any applicable taxes unless indicated otherwise.

By subscribing you authorize recurring charges to your payment method. If a payment fails we may retry it and suspend access until the balance is settled. Plan changes are prorated according to Stripe's proration rules.

8. Refund policy

Because a free trial is available before payment, subscription fees are generally non-refundable and we do not refund partial periods. If you were charged in error, were double-charged, or a material defect prevented you from using the service, contact billing@nexz-ai.com within 14 days of the charge and we will review the request in good faith.

Statutory withdrawal rights for consumers under applicable law remain unaffected.

9. Intellectual property

NEXZ and its software, design, branding and documentation remain our exclusive property. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription.

You retain all rights to the content you upload or connect. You grant us only the licence needed to host, process and display that content in order to provide the service. Output generated for your workspace belongs to you, subject to your compliance with these terms.

10. AI disclaimer

NEXZ uses large language models. AI output can be inaccurate, outdated, incomplete or unsuitable for a specific purpose, and identical prompts may produce different results. NEXZ is a productivity tool, not a provider of legal, tax, medical, financial or other professional advice.

You are solely responsible for reviewing and approving AI output before sending it externally or relying on it. We recommend keeping approval mode enabled for outbound customer communication.

11. Availability

We work to keep NEXZ available and reliable, but the service is provided 'as is' and 'as available' without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Planned maintenance, third-party outages and force majeure events may interrupt access.

12. Limitation of liability

To the maximum extent permitted by law, NEXZ is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, lost business or reputational harm, arising from your use of the service.

Our total aggregate liability for any claim is limited to the amounts you paid to NEXZ in the twelve months preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded by law, such as liability for intent or gross negligence.

13. Indemnity

You agree to indemnify and hold NEXZ harmless from claims, damages and reasonable costs arising from your content, your use of the service in breach of these terms, or your violation of applicable law or third-party rights.

14. Termination

You may stop using NEXZ and delete your account at any time. We may suspend or terminate access if you materially breach these terms, fail to pay, or use the service in a way that creates legal or security risk for us or other customers, with notice where reasonably possible.

On termination, your right to use the service ends immediately and workspace data is deleted according to the retention periods in our Privacy Policy. Sections on intellectual property, liability, indemnity and governing law survive termination.

15. Changes to these terms

We may update these terms as the service or the law changes. Material changes will be communicated in the application or by email before they take effect. Continued use after the effective date constitutes acceptance.

16. Governing law

These terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts competent for our registered seat have exclusive jurisdiction, except where mandatory consumer-protection law grants you the right to bring proceedings elsewhere.
